RESELLER FLOW DOWN TERMS AND CONDITIONS FOR APPGATE PRODUCTS AND SERVICES

Documents on this page include terms and conditions that may be applicable to the Appgate products and services (the “Products” or “Services”) being purchased by you from the applicable reseller (“Reseller”). Documents on this page are only for use by current and prospective Reseller end users of such Products and Services. The table immediately below describes how the components of the various terms and conditions will work together.

	GOVERNS	EFFECTIVE DATE	END USER / CUSTOMER
MASTER AGREEMENT	All Products and Services purchased by End User and its Affiliates from Reseller from time to time. There is only one Master Agreement per End User.	Effective Date of the first order for the purchase of any Product or Service from Reseller.	The “End User” entity that is party to the first order for the purchase of any Product or Service from Reseller.
SCHEDULE OR SERVICE SCHEDULE	The specific Products and Services purchased by End User and its Affiliates from Reseller from time to time and covered by such Schedule or Service Schedule. There is only one Schedule or Service Schedule per End User for each Product or Service category purchased (e.g., licensed software, SaaS service, etc.). End User may have multiple Schedules or Service Schedules, each covering a different Product and Service category.	Effective Date of the first order for the purchase of any Product or Service from Reseller covered by such Schedule or Service Schedule.	The “End User” entity that is party to the first order for the purchase of any Product or Service from Reseller covered by such Schedule or Service Schedule.

The table immediately below describes which of the terms and conditions on this page are applicable to the Appgate Products and Services being purchased by you from Reseller.
